By-Laws of Lake Tranquility Community Club

A Non-Profit Corporation organized and existing under Title 15 of the Laws of the State of New Jersey.  By-Laws for the Management of the Property and the Regulation of the Affairs of the Lake Tranquility Community Club, adopted Pursuant to N.J.R.S. 15:104.

 

ARTICLE I – NAME

The name of the association shall be “LAKE TRANQUILITY COMMUNITY CLUB.”

 

ARTICLE II – PURPOSES

The association is formed for the following purposes:

A.    To insure the present and future character and welfare of the development of land located in the community known as LAKE TRANQUILITY situate, lying and being in the Township of Green, County of Sussex and State of New Jersey.

B.     To promote the welfare, pleasure, entertainment, sociability, good fellowship, intellectual, and recreational interests of its members, and to furnish its members with the reasonable facilities for the enjoyment of all properties.

C.     To provide for the care and maintenance of all association properties, now or hereafter owned, leased, or otherwise acquired, including, but not limited to, roads, parks, dams, beaches, lake, waterways, and all streams connected therewith docks, piers, pavilions, club houses, and all other structures and grounds used for recreation and sports at LAKE TRANQUILITY.

D.    To purchase, lease, arrange for or otherwise acquire, regulate and control recreational or other facilities in furtherance of the community plan, and to spend money for said purposes, and for the placing of equipment improvements thereon, and to assess special fees for the use of any recreational facility or other club owned project where deemed necessary or proper for the purpose of amortizing the costs, upkeep and/or maintenance thereof.

E.     To pay the taxes and assessments on any club owned property, if any, which may be levied by any government authority upon said property.

F.      To promulgate rules and regulations for the use of all Association properties now owned or hereafter acquired, and to provide for the enforcement thereof.

G.    To do any and all lawful things and acts which shall be necessary and proper for the running of this association.

H.    To be at all times not for financial profit or pecuniary gain.

I.        An emergency fund may be set aside by the Executive Committee, the Board of Trustees and the general membership.  The fund shall be defined as “Building and Property” and shall be used for an unforeseen combination of circumstances that calls for immediate action.  Said use may only be accomplished by majority of the Executive Committee, the Board of Trustees, and the general membership at a quorum meeting of members in accordance with provisions of meetings as defined herein.

 

ARTICLE III- MEMBERSHIP

A.    Membership in Lake Tranquility Community Club shall be open to individuals who reside in or own real property in Green Township, Andover Boro, Andover Township, all located in Sussex County, New Jersey or Allamuchy Township, located in Warren County, New Jersey.

B.     Each family membership of the Lake Tranquility Community Club who reside in or own real property in Green Township, Sussex County, New Jersey shall be entitled to one vote on all matters which require a vote of the general membership of the Lake Tranquility Community Club.

C.     Members who reside in or own property outside of Green Township, Sussex County, New Jersey shall be entitled to all the rights and privileges as any Green Township member except that they will not be permitted to hold office on the Board of Trustees or Executive Committee or be permitted to vote on Lake Tranquility Community Club matters.

D.    Membership derived outside of Green Township will be limited to 50 families. This will be determined on a first come first serve basis. After that you can be put on a membership waiting list.

E.     Membership may be terminated by the Board of Trustees for the following reasons: 1.) Failure to pay dues by the date herein specified.  2.) For cause after notice and hearing.  Cause is hereby defined as either a willful refusal to obey and/or abide by the rules and regulations promulgated by the Board of Trustees, or, for continued violation thereof after written notice to cease.

F.      Upon termination of membership in this Association for any reason, all privileges therein and all rights to use any properties belonging to the Association shall cease.

G.    Membership in the Lake Tranquility Community Club shall not be transferable or assignable, and each person seeking membership in the Club shall submit to the Board of Trustees a written application for same on a form prescribed by the Board of Trustees.

H.    Persons who reside or own property outside of Green Township, Andover Boro, Andover Township, and Allamuchy are permitted to join only if sponsored by a current member in good standing.

 

 

ARTICLE IV – PAYMENTS--DUES

A.    Each member shall pay to the association each year dues in an amount voted on and approved by the Executive Committee and the Board of Trustees.

B.     Said dues shall be discounted if received prior to April 1st of each calendar year. Discounted dues shall be offered in two tiers: memberships received prior to January 31st and memberships received between February 1st and March 31st. Dues received prior to January 31st shall have the largest discount lowest rate. Dues received after March 31st shall be full price.

C.     Discounted late memberships are available only for New Members after Labor Day. Discounted membership rate shall be half of the full price membership.

 

ARTICLE V – PRIVILEGES

A.    All members shall be entitled to the full use of all Association properties and facilities subject to the rules and regulations of the Association as promulgated by the Board of Trustees, which rules and regulations shall be conspicuously posted.

B.     Privileges shall be extended to spouses, and their immediate family who occupy the same premises.

C.     Use of Association properties and facilities shall be extended to guests of members under the following conditions:

1.      Residents of Green Township, Andover Boro, Andover Township, and or Allamuchy Township shall not be guests.

2.      Guest privileges shall be allowed on a day to day basis.

3.      The Board of Trustees may terminate and/or grant guest privileges in individual cases if deemed in the best interest of the Association.

D.    All members and guests using the properties or facilities of the Associations shall be required to wear identification badges, which shall be furnished by the Association.

 

 

ARTICLE VI – BOARD OF TRUSTEES

A.    Board of Trustees shall be five (5) in number, three (3) of whom at least shall reside in Green Township. All trustees must maintain their Lake Tranquility Community Club membership during their term in office.

B.     A majority of the members of the Board of Trustees shall constitute a quorum at all meetings.

C.     The first Board of Trustees to be elected upon adoption of these By-Laws shall be elected by and from among the voting members in the following manner:

1.      The three such persons receiving the largest number of votes cast by the voting members entitled to vote at such election shall each serve for a term commencing with the date of their election until December 31, 1977.

2.      The two such persons receiving the forth and fifth largest number of votes so cast shall serve a term commencing with the date of their election, until December 31, 1976.

D.    Commencing in November, 1976 and during the November of each even numbered year thereafter, two trustees shall be elected at the annual meeting of the members of the association by and from among the voting members, said trustees to be the two persons receiving the largest number of votes cast at said meeting.

E.     Commencing in November, 1977, and during the November of each odd-numbered year thereafter, three Trustees shall be elected at the annual meeting of the members of the Association by and from among the voting members, said trustees to be the three persons receiving the largest number of votes cast at said meeting.

F.      Each Trustee so elected shall serve for a term of two years commencing the First day of January following his or her election until December 31 of the second year following such election, and until their successors are duly elected.

G.    Members of the Board of Trustees pursuant to these By-Laws shall be subject to recall by the voting members upon written request to the Secretary of the Board of Trustees of not fewer that ten percent of the voting members in good standing.  Such Trustee shall thereupon submit to recall and election by the voting membership at a special election called by the secretary

H.    The President of the Board of Trustees shall be elected by the Trustees and the President of the Board shall appoint the Secretary to the Board of Trustees from among the members of the Board of Trustees. These appointments shall be completed in December following the elections for the upcoming year.

I.        The business and the property of the Association shall be managed and controlled by the Board of Trustees.  The Board of Trustees shall make and amend and otherwise promulgate such rules and regulations with respect to the use of all the Association properties and facilities as they shall deem necessary and proper.

J.       The Board of Trustees may appoint from the Association membership such committees as may be deemed advisable or desirable for the administration of the affairs of the Association.

K.     No contract for sale or conveyance of any real property owned by the Association shall be make without the unanimous vote of the Board of Trustees and a majority vote of voting members present at a meeting of the membership of the Association, providing that written notice has been given to all members in good standing.

L.     Should a vacancy occur in the Board of Trustees, then, in that event, until a duly qualified successor can be elected at the next regular meeting of the membership of the Association, the President of the Association, as defined in Article VII of these Bylaws shall fill said vacancy.  During such period of time, the Vice President as defined in Article VII of these By-Laws shall assume the duties of President until a duly qualified successor, Trustee is elected.

M.   Each member of the Board of Trustees must be in attendance for a minimum of six (6) monthly meetings during a calendar year scheduled for the first Friday of the month. Failure to attend six (6) monthly meetings by the November elections will require the Trustee to forfeit their position for the remainder of their term. In the event there is one year remaining on their term their position will be included in the November election. The individual elected to that position will fill the remainder of that term.

 

ARTICLE VII – OFFICERS

A.    President:  The president shall be the chief executive officer of the Association and shall have general supervision over its affairs subject to the direction and control of the Board of Trustees, and shall administer the rules and regulations of the association in cooperation with, or with the assistance of, such committee or committees.  The President shall preside at all meetings of the Association.  He/She shall, with the secretary, sign all written contracts and all other obligations of the Association.  The President shall serve without remuneration and during his/her term of office shall be exempt from annual dues. VICE-PRESIDENT:  In the absence of the president or in the event of his/her inability to act, the Vice president shall exercise all of the powers and perform all the duties of the President.  The Vice-President shall serve without remuneration and during his/her term of office shall be exempt from annual membership dues. The Vice-President shall appoint chairman to each committee required to maintain operations of the club.

B.     In the absence or incapacity of both the President and Vice-President, the Board of Trustees may appoint one of the members to exercise the powers and perform the duties of the president.

C.     SECRETARY:  The Secretary shall keep the minutes of all meetings of the membership of the association, and shall have custody of the seal of the Association and shall affix the same to any documents when authorized to do so by the President or the Board of Trustees:  and shall perform such other duties as may be required by these By-Laws or by the Board of Trustees.  The Secretary shall provide each member in good standing with identification badges and shall have control of guest badges. The secretary shall serve without remuneration and during his/her term of office shall be exempt from annual membership dues.

D.    TREASURER:  The Treasurer shall have the custody of all the funds and securities of the Association which may come into his/her hands, and shall keep the funds of the Association on hand deposited to the credit of the Association in such place of places the Board of Trustees may from time to time designate, all such accounts to be maintained in a National or State Bank of Trust Company located within the State of New Jersey, and shall disperse the same on the direction of the Board of Trustees.  When necessary or proper he/she shall endorse on behalf of the Association for collection of bills, notes, checks, and other obligations received by the Association.  The Treasurer shall perform the usually acts and duties incident to the position of Treasurer, subject to the control of the Board of Trustees, and such other duties as they may require.  Any expenditure in excess of $1,000 and not already on the approved budget needs approval by a Trustee before payment is made. The Treasurer shall serve without remuneration and during his/her term of office shall be exempt from annual membership dues.

E.     An officer may be removed from office for just cause by two-thirds vote of the members present, at a regularly scheduled meeting, provided written notice has been given to all members in good standing.

F.      Not withstanding any other provision of these By-Laws, the Executive Committee may reimburse any officer or Trustee for out- of –pocket expenses incurred by said officer on behalf of the Association.

G.    Each Officer herein before set forth shall be elected by and from the voting members at the annual meeting of the members of the Association, and shall serve for a period of one year commencing the first day of January following their election, and terminating on December 31 of said year.  The person elected to each office shall be the person receiving the largest number of votes cast for all persons nominated for said office.

H.    No person who is a Trustee shall be an Officer, and no Officer shall be a Trustee except for the President while filling a vacancy as hereinbefore set forth.  It shall be permissible for a person to hold two Officer positions in this Association, by the way of example, Secretary-Treasurer.

I.        No person shall be elected to the Board of Trustees without serving first for one term on the Executive Committee.

ARTICLE VIII - MEETINGS OF MEMBERS

A.    There shall be an annual meeting of the members of the Association which shall be held at the Association clubhouse located at 3 Sunset Drive, Lake Tranquility, on the First Friday in November.  In addition to other such matters normally presented at regular monthly meetings, elections will be held for Officers and members of the Board of Trustees of the Association for the coming term.  Other meetings of members shall be called by the President and shall be held monthly.

B.     Notice of the time and place of the annual meeting and of all others meetings of members shall be given in writing by the Secretary to each member.

C.     All meetings shall be conducted in accordance with Robert’s Rules of Order.

D.    Each voting member of the Association, if in good standing, shall be entitled to vote at any meeting of the members: however, there shall be only one vote cast per family membership.

E.     Any number of members, in excess of twenty, entitled to vote and present at any meetings, shall constitute a quorum.

 

ARTICLE IX – DISBURSEMENTS AND OBLIGATIONS

A.    Title to all property held by the Association shall be held in the name of the Association.  Any conveyance of property shall be made in the name of the Association by the President and attested to by the Secretary, or in the absences of these officers by those delegated to perform their duties as elsewhere in these By-Laws provided.

B.     The Board of Trustees may authorize and designate any officer or officers of the Association to execute and deliver such documents, contracts, deeds, mortgages, certificates, or other instruments of title, bonds, notes, or others obligations of the Association, as may be required or deemed desirable and for the good of the Association.

C.     All Disbursements on behalf of the Association shall be made by check unless otherwise authorized by the Board of Trustees, and each such check shall be signed by two officers.

D.    No members of the Association shall be personally liable for any of the debts or obligations of the Associations.

 

ARTICLE X – SEAL

The official corporation seal of the corporations shall be in the following form:

ARTICLE XI – AMENDMENTS TO THE BY-LAWS

A.    Amendments to the By-Laws may be made at any meeting of the Association, by two-thirds vote of all the members present, entitled to vote and voting, provided first that written notice of the proposed amendments shall be submitted to the Board of Trustees and the same are approved by affirmative vote of a majority of the Trustees and provided second that the proposed amendment, after approval of the Board of Trustees, shall be included in a notice of the meeting sent to the members.

B.     The Board of Trustees Chairman or Chairman designee, a member of the Trustees shall be responsible for maintenance of the By-Laws.  Maintenance shall include but not be limited to:  records of all proposed changes formally received by the members of the Trustees, by whom and when proposed, and whether or not said proposals were approved, incorporated, voted upon or otherwise declined in accordance with the procedures outlines in these By-Laws.  Updated and revised By-Laws shall be available for distribution to members at least every two (2) years or as requested by the Executive Committee.

 

ARTICLE XII

Upon dissolution of the corporation, any and all monies including the proceeds of liquidation of all corporate assets and any and all real and/or personal property owned by the Lake Tranquility Community Club shall be distributed by the Trustees to the Allamuchy Green First Aid Squad Inc.

 

ARTICLE XIII

A.    Details of operating procedures, which are not covered in the By-Laws shall be separately written by the Board of Trustees under the title of rules of procedure which are, to all intent and purposes, to be considered as part of these by-laws but for the sake of flexibility are not subject to the same regulations and restriction concerning changes and amendments as are these by-laws of the club.  The rules of procedure are not to conflict with or take precedence over these by-laws.

B.     An up to date copy of the rules of procedure will be maintained in the club office for inspection by any club member in good standing.
